Terms of Access
Any person accessing DroneShield Group Pty Ltd’s (ABN 44 668 560 610) locations (Visitor(s)) must agree to the following terms of access as a condition of access.
Identification
Visitors must present original photo identification (ID) issued by a government agency at the access control point.
Additionally, Australia Post digital ID and digital driver's licenses are acceptable forms of identification in some States/Territories. Copies of ID are not acceptable.
Entry
DroneShield provided Visitor Identification Card (VIC) must be visible and worn by Visitors on the front or side of the body at all times during their visit.
General
All Visitors must:
have a justifiable requirement for accessing the DroneShield’s location
provide photo identification
remain with their host at all times
comply with all DroneShield rules
follow all directions of security and emergency officers
agree to comply with these terms of access at all times
present vehicles, bags and other containers for security inspection
Individuals must not:
disobey signage
interfere with and/or remove DroneShield property from the DroneShield location without permission
enter restricted areas without authorisation
introduce or remove equipment capable of audio or visual recording or transmitting
share DroneShield information that does not pertain to the reason for the visit
Failure to meet these conditions may constitute a security incident, resulting in removal from the DroneShield location, denial of re-entry, legal action and possible reporting to authorities.
Security and Identification Checks
All individuals must wear a VIC at all times on site, unless wearing presents a safety hazard, in a prominent position on the front or side of the body, and return it to their host before leaving the DroneShield location.
Visitors may be stopped for search and identification checks.
Prohibited Items
Prohibited items include anything that may constitute a threat to the safety of a person or are related to a criminal offence.
Examples of prohibited items include:
unapproved audio or visual recording or transmitting devices
weapons of any type
laser devices
illegal substances
Drugs and Alcohol
Personnel must not be under the influence of alcohol or prohibited substances, including:
illegal stimulants such as cocaine, amphetamine, crystal methamphetamine
illegal depressants such as unprescribed opioids
cannabis
hallucinogens such as LSD, magic mushrooms, ketamine
psychoactive substances
Smoking, including the use of e-cigarettes, is prohibited in all buildings, courtyards, walkways, building entrances and exits, near windows and near air conditioning intakes. Smoking must be contained to designated smoking areas.
Behaviour
Personnel must not engage in, contribute to, ignore, assist, nor encourage unacceptable behaviour, including:
violence
sexual misconduct
discrimination
harassment
bullying
unsafe or reckless conduct
Individuals will be held personally responsible for behaviour that exposes others to risk, injury, illness or death, and are liable to prosecution.
Visitors
If Visitors become separated from their host, they must make all reasonable efforts to re-establish contact in a timely manner.
Photography
Visitors must not take photographs and videos on a DroneShield location without authority.
Responsibilities
Safety is a priority and all individuals must:
behave in a safe manner and remain vigilant to hazards
take reasonable care of their own safety
not adversely affect the health and safety of others
cooperate with all direction, policy or procedure provided
inform host of any hazards identified
Emergencies
In the event of an alarm, Visitors must take the following actions:
Remain as calm as possible
Gather their personal possessions
Remain with their host
Follow all directions of Emergency Control Officer (ECO) wardens, local security and emergency services personnel
Hazards
Visitors must remain vigilant for unfamiliar hazards that may be present on DroneShield locations, such as:
hazardous chemicals
confined spaces
noise
asbestos
lasers
radiation
active vehicle barriers
explosive ordnance
airside access areas
bushfires
swooping birds
fauna
dangerous goods
safety critical areas
Reporting
All Visitors are obliged to report hazards and unsafe situations to their host.
Limitation of Liability and Indemnity
Visitors will indemnify DroneShield, its Related Bodies Corporate and its directors, officers and employees from and against losses, claims, expenses, damages and liabilities which arise (including without limitation any taxes, fees, costs, levy or other impost (including any charge, fines, penalties and interest)) out of any breach of this Agreement or any act or omission by the Visitor or their agents, personnel, or affiliates.
TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL DRONESHIELD BE LIABLE FOR ANY DAMAGES UNDER ANY THEORY, INCLUDING BUT NOT LIMITED TO, CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE OR INCIDENTAL DAMAGES OR LOST PROFITS, WHETHER FORESEEABLE OR UNFORE-SEEABLE, BASED ON CLAIMS OF RESELLER, ITS APPOINTEES OR ITS OR THEIR CUSTOMERS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR BODIDLY INJURY, DEATH, LOSS OF DATA, GOODWILL, USE OF MONEY OR USE OF THE PRODUCTS, LATE DELIVERY, INTERRUPTION IN USE OR AVAILABILITY OF DATA, STOPPAGE OF OTHER WORK OR IMPAIRMENT OF OTHER ASSETS, OR DAMAGE OR LOSS, INCLUDING CREATED BY DISRUPTION TO COMMUNICATIONS FROM THE USE OF DRONE COUNTERMEASURES), ARISING OUT OF BREACH OR FAILURE OF EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, MISREPRESENTATION, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE. IN NO EVENT WILL THE AGGREGATE LIABILITY EXCEED AU$1,000.00.
Export Controls
Visitors acknowledge that all related technical information, documents and materials are to DroneShield products are subject to export control regulations, including without limitation the Australian Department of Export Controls (“DEC”) rules. Visitors will adhere to DEC rules and any other export control laws.
Confidential Information
Confidential Information means any and all information provided by DroneShield or otherwise made accessible to Visitors by DroneShield or any of its affiliates (whether orally, electronically, in writing, or otherwise), including without limitation samples and/or other physical materials, concepts, inventions (whether or not patentable), works of authorship, software and/or other computer programming code, trade secrets, know-how, technical information, technical data, methods, confidential information, proprietary information, designs, data, business ideas and plans, contracts, market information, and financial information. It includes information marked “confidential” or “proprietary,” information identified orally upon disclosure as confidential, and information that, under the circumstances surrounding disclosure, ought to be recognised as confidential.
Visitors recognise that in the course of their access to DroneShield’s location they may have access to Confidential Information. Visitors agree to not use or disclose to any person or entity any Confidential Information, except:
(a) with the prior written consent of the DroneShield; or
(b) to the extent that Visitors are required by law to disclose that information, and provides prior written notice to DroneShield where practicable.
Visitors must prevent the unauthorised use or disclosure of any Confidential Information.
Visitors must immediately notify DroneShield of any suspected or actual unauthorised use, copying or disclosure of Confidential Information.
Visitors must provide assistance reasonably requested by DroneShield in relation to any proceedings DroneShield may take against any person for unauthorised use, copying or disclosure of Confidential Information.
All Confidential Information disclosed by DroneShield to Visitors remains the property of DroneShield. DroneShield does not grant Visitors any license, right, title, or interest in any part of the Confidential Information (or in any other intellectual property of Discloser or its affiliates other than the limited non-exclusive right to access the Confidential Information when presented to Visitors at the DroneShield location. All Confidential Information is provided “as is,” without warranty (express or implied) of any kind.
Visitors must return all Confidential Information provided to Visitors throughout their visit before leaving the DroneShield location.
Governing Law and Jurisdiction
This Agreement is governed by the laws of New South Wales. Visitors submit to the non-exclusive jurisdiction of courts exercising jurisdiction there.
