Terms of Access

Any person accessing DroneShield Group Pty Ltd’s (ABN 44 668 560 610)(“DroneShield”) locations and/or systems (either constituting a “DroneShield Location”) (“Visitor(s)”) must agree to the following Terms of Access as a condition of access. Visitors acknowledge and agree to these Terms of Access by:

(a)     entering any physical DroneShield Location, which thereby constitutes their agreement to these Terms of Access; or

(b)    submitting a form to the DroneShield Visitor Sign-In page.

Identification

Prior to accessing any DroneShield Location, Visitors must upload a copy of all passports they currently hold to DroneShield’s Visitor Sign-In: https://portal.droneshield.io/visitor-registration.

Upon attending any physical DroneShield Location, Visitors must present an original and current photo identification (“ID”) issued by a government agency at the relevant access control point before being provided with access to DroneShield Location. DroneShield will cross-reference this ID to confirm it aligns with the passport(s) previously uploaded to the Visitor Sign-In.

Additionally, Australia Post digital ID and digital driver's licenses are acceptable forms of identification in some States/Territories. Copies of ID are not acceptable.

DroneShield reserves the right to deny the Visitor entry and/or access to any DroneShield Location, should: (i) any Visitors refuse, neglect or fail to upload their passport(s) in advance; (ii) attend any DroneShield Location with the suitable ID required; or (iii) an assessment of their passport or ID determine a potential risk of non-compliance with any export control regulation. Visitors acknowledge and agree to hold DroneShield harmless from any loss or damage that Visitors may suffer in relation to DroneShield’s denial of access.

Entry

DroneShield provided Visitor Identification Card (“VIC”) must be visible and worn by Visitors on the front or side of the body at all times during their visit.

General

All Visitors must:

  • have a justifiable requirement for accessing the DroneShield’s Location;

  • provide photo identification;

  • remain with their DroneShield host at all times;

  • comply with all DroneShield rules;

  • follow all directions of security and emergency officers;

  • agree to comply with these terms of access at all times; and/or

  • present vehicles, bags and other containers for security inspection.

Individuals must not:

  • disobey signage;

  • interfere with and/or remove DroneShield property from the DroneShield Location without permission;

  • enter restricted areas without authorisation;

  • introduce or remove equipment capable of audio or visual recording or transmitting; and/or

  • share DroneShield information that does not pertain to the reason for the visit.

Failure to meet these conditions may constitute a security incident, resulting in removal from the DroneShield Location, denial of re-entry, legal action and possible reporting to authorities.

Security and Identification Checks

All individuals must wear a VIC at all times on site, unless wearing presents a safety or health hazard, in a prominent position on the front or side of the body, and return it to their DroneShield host before leaving the physical DroneShield Location.

Visitors acknowledge and consent to the following:

(a)     Visitors may be stopped at any time while in a physical DroneShield Location for search and identification checks that are not unreasonably invasive;

(b)    If a Visitor has been provided with access to an electronic Droneshield Location, then the device they are accessing the system from, their use of the DroneShield system and related activity may be monitored by DroneShield; and/or

(c)    If a Visitor uses their own device(s) to connect to any DroneShield network, system or another device, then all of their activity while connected may be monitored by DroneShield.

By entering any physical DroneShield Location, you acknowledge and consent to the use of Closed-Circuit Television (CCTV) systems and the like for security, safety, and monitoring purposes. You further acknowledge and consent that photographs or video recordings may be taken of you while present at any DroneShield Location, which may be used for lawful purposes, including but not limited to security, compliance, and promotional/marketing activities. If you do not consent to being recorded or photographed, you must not enter any physical DroneShield Location and advise DroneShield of this refusal in writing. Your entry to any physical DroneShield Location constitutes your agreement to these Terms of Access. Any resulting photograph or video recordings are treated in accordance with DroneShield’s Privacy Policy.

Prohibited Items

Prohibited items include anything that may constitute a threat to the safety of a person or are related to a criminal offence.

Examples of prohibited items include:

  • unapproved audio or visual recording or transmitting devices;

  • weapons of any type;

  • laser devices; and

  • illegal substances.

Drugs and Alcohol

Personnel must not be under the influence of alcohol or prohibited substances, including:

  • stimulants such as cocaine, amphetamine, crystal methamphetamine;

  • depressants such as opioids;

  • cannabis;

  • hallucinogens such as LSD, magic mushrooms, ketamine; and

  • psychoactive substances.

Smoking, including the use of e-cigarettes, is prohibited in all buildings, courtyards, walkways, building entrances and exits, near windows and near air conditioning intakes. Smoking must be contained to designated smoking areas.

Behaviour

Personnel must not engage in, contribute to, ignore, assist, nor encourage unacceptable behaviour, including:

  • violence;

  • sexual misconduct;

  • discrimination;

  • harassment;

  • bullying; and

  • unsafe or reckless conduct.

Individuals will be held personally responsible for behaviour that exposes others to risk, injury, illness or death, and are liable to prosecution.

Visitors

If Visitors become separated from their DroneShield host, they must make all reasonable efforts to re-establish contact in a timely manner.

Photography

Visitors must not take photographs and videos of a DroneShield Location (or any part thereof) without written authority from DroneShield.

Responsibilities

Safety is a priority and all individuals must:

  • behave in a safe manner and remain vigilant to hazards;

  • take reasonable care of their own safety;

  • not adversely affect the health and safety of others;

  • cooperate with all direction, policy or procedure provided; and

  • inform host of any hazards identified.

If a Visitor’s access to a DroneShield Location and ongoing related interactions with DroneShield staff arise from them being an independent contractor to DroneShield, their strict compliance with all applicable DroneShield policies and these Terms of Access are conditions of their contract and ongoing engagement with DroneShield.

Emergencies

In the event of an alarm, Visitors must take the following actions:

  1. Remain as calm as possible;

  2. Gather their personal possessions;

  3. Remain with their DroneShield host; and

  4. Follow all directions of Emergency Control Officer (“ECO”) wardens, local security and emergency services personnel.

Hazards

Visitors must remain vigilant for unfamiliar hazards that may be present on DroneShield Locations, including, but not limited to:

  • hazardous chemicals

  • confined spaces

  • noise

  • asbestos

  • lasers

  • radiation

  • active vehicle barriers

  • explosive ordnance

  • airside access areas

  • bushfires

  • swooping birds

  • heavy machinery, including motor vehicles

  • dangerous, venomous or irritating flora

  • fauna

  • dangerous goods

  • experimental or prototype goods

  • safety critical areas

Reporting

All Visitors are obliged to report hazards and unsafe situations to their DroneShield host immediately upon identifying these.

Limitation of Liability and Indemnity

Visitors will indemnify DroneShield, its Related Bodies Corporate and its directors, officers and employees from and against any losses, claims, expenses, damages and liabilities which arise (including without limitation any taxes, fees, costs, levy or other impost (including any charge, fines, penalties and interest)) out of any breach of this Agreement or any act or omission by the Visitor or their agents, personnel, or affiliates.

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL DRONESHIELD BE LIABLE FOR ANY LOSS OR DAMAGES UNDER ANY THEORY, INCLUDING BUT NOT LIMITED TO, CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE, EQUITABLE OR INCIDENTAL DAMAGES OR LOST PROFITS, WHETHER FORESEEABLE OR UNFORESEEABLE, BASED ON CLAIMS OF RESELLER, ITS APPOINTEES OR ITS OR THEIR CUSTOMERS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR BODIDLY INJURY, DEATH, LOSS OF DATA, GOODWILL, USE OF MONEY OR USE OF THE PRODUCTS, LATE DELIVERY, INTERRUPTION IN USE OR AVAILABILITY OF DATA, STOPPAGE OF OTHER WORK OR IMPAIRMENT OF OTHER ASSETS, OR DAMAGE OR LOSS, INCLUDING CREATED BY DISRUPTION TO COMMUNICATIONS FROM THE USE OF DRONE COUNTERMEASURES), ARISING OUT OF ANY PURPORTED BREACH OR FAILURE OF EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, MISREPRESENTATION, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE. IN NO EVENT WILL DRONESHIELD’S AGGREGATE LIABILITY EXCEED AU$1,000.00.

Export Controls

Visitors acknowledge that Droneshield products and all related technical data/information, software, documentation, materials and services (“Export Controlled Items”) are subject to export control regulations, including, without limitation, the Australian Department of Export Controls (“DEC”) rules. Visitors agree and undertake to:

(a)    comply with all current export control and sanctions laws, regulations, and orders applicable to any Export Controlled Items;

(b)    cooperate fully with DroneShield in any official or unofficial audit or inspection that may be undertaken by an export control regulator or similar authority;

(c)    exercise all reasonable efforts to support DroneShield in obtaining any necessary export authorisations, approvals or permits required; and

(d)    not export, re-export, broker, divert or transfer, directly or indirectly, any Export Controlled Items in violation of any then current export control laws, regulations and orders, and without prior written authorization from DroneShield, or otherwise in violation of any specific term of these Terms of Access.

Visitors acknowledge and agree that any perceived or actual non-compliance with applicable export control laws entitles DroneShield to immediately terminate any and all access they have to any DroneShield Location, Confidential Information or the like without any notice. Similarly, DroneShield may refuse or terminate such access for a Visitor if they are unable to obtain the necessary authorisation, approval or permit in relation to the Export Controlled Items. In these cases, Visitors hold DroneShield harmless from any loss or damage Visitors may suffer and waive any right they may have to bring a claim against DroneShield.

Confidential Information

Confidential Information means any and all information provided by DroneShield or otherwise made accessible (whether directly or indirectly) to Visitors by DroneShield or any of its affiliates (whether orally, electronically, in writing, or otherwise), including, without limitation, samples and/or other physical materials, concepts, inventions (whether or not patentable), works of authorship, software and/or other computer programming code, trade secrets, know-how, technical information, technical data, methods, confidential information, proprietary information, designs, data, business ideas and plans, contracts, market information, and financial information. It includes information marked “confidential” or “proprietary”, information identified orally upon disclosure as confidential, and information that, under the circumstances surrounding disclosure, ought to be recognised as confidential. For the avoidance of doubt, the details of any DroneShield Location and the fact that you are attending/accessing the same are also Confidential Information.

Visitors recognise and acknowledge that, in the course of their access to any DroneShield Location and in any interactions with DroneShield staff arising from or in connection with this access, they may have access (whether directly or indirectly) to Confidential Information. Visitors agree and undertake to:

(a)      not use any Confidential Information in any way, for its own account or the account of any third-party;

(b)      not disclose the Confidential Information to any third-party and take all reasonable measures to prevent to prevent any disclosure;

(c)      keep the Confidential Information secret and confidential at all times, taking measures that are at minimum no less stringent that the Visitor takes to protect its own information that it deems confidential;

(d)      not reverse engineer, decompile or disassemble any software, technology or code disclosed by DroneShield; and

(e)      not provide any Confidential Information to any Large Language Model, nor use any Confidential Information to train any Large Language Model,

except:

(f)     with the prior written consent of the DroneShield; or

(g)    to the extent that Visitors are required or otherwise compelled by law to disclose that information and provide prior written notice to DroneShield (or otherwise immediate written notice if prior notice is impracticable).

Visitors must immediately notify DroneShield of any suspected or actual unauthorised use, copying or disclosure of Confidential Information.

Visitors must provide all assistance reasonably requested by DroneShield in relation to any proceedings DroneShield may take against any person for unauthorised use, copying or disclosure of Confidential Information. If such proceedings are brought as a result of a Visitor’s direct or indirect actions, Visitors agree that they are solely liable for their own costs in assisting DroneShield and will indemnify DroneShield for DroneShield’s costs in relation to the proceedings (including, but not limited to, legal costs).

All Confidential Information disclosed by DroneShield to Visitors remains the property of DroneShield. DroneShield does not grant Visitors any license, right, title, or interest in any part of the Confidential Information (or in any other intellectual property of DroneShield or its affiliates) other than the limited non-exclusive right to access the Confidential Information at the time it is presented to Visitors by DroneShield. All Confidential Information is provided “as is,” without warranty (express or implied) of any kind.

Visitors must return all Confidential Information provided to Visitors throughout their visit before leaving the DroneShield Location or otherwise immediately upon their access to being terminated, revoked or restricted for any reason.

Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of New South Wales. Visitors irrevocably submit to the non-exclusive jurisdiction of courts exercising jurisdiction there.
